M&A/PRIVATE EQUITY/VENTURE CAPITAL: Peter Spier represents middle-market companies, private equity and venture capital funds and entrepreneurs in mergers & acquisitions, divestitures, capital raising and debt and equity investments.

Mr. Spier regularly represents private equity and venture capital firms in fund formation, negotiating investment terms and preparing private placement memoranda and other offering materials. He represents PE firms in negotiating platform and add-on acquisitions of portfolio companies including advising on transaction structure, and the transition of operations following closing, as well as drafting and negotiating executive employment agreements and incentive arrangements.

Spier serves as a Member of the Board of Directors of the Association for Corporate Growth. He has been named a "Leading Lawyer" in the areas of Mergers & Acquisitions, Securities & Venture Finance and Closely & Privately Held Business Law by Leading Lawyers Network Magazine and a "Rising Star" in M&A and Corporate Law by Illinois Super Lawyers.

GAMING: Mr. Spier serves as Chair of the Firm's Casino Gaming Group. He regularly represents gaming clients in financing and M&A transactions. He advises them on the complex legal landscape facing the industry and helps them implement policies to comply with tax reporting obligations, data security laws and anti-money laundering requirements, among many other legal issues. Mr. Spier serves as outside general counsel for several gaming companies, advising them on myriad legal issues affecting their day-to-day operations.

Mr. Spier is a frequent speaker and author on issues affecting the gaming industry. He has been named a "Leading Lawyer" in the area of Gaming Law by Leading Lawyers Network Magazine - Business Edition, a "Rising Star" in Gaming Law by Illinois Super Lawyers and in 2016 was one of only three attorneys in the U.S. to receive the "Excellence in Gaming Award" from Corporate LiveWire.
