Terms of Use

These Terms of Use ("Terms") govern your access to and use of the MedStartr.ai platform (the "Service"), operated by MedStartr, Inc. ("MedStartr," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use the Service. You must be at least 18 years of age to use MedStartr.ai.

MedStartr.ai is a crowd validation platform for healthcare and medical innovations. The Service connects healthcare innovators ("Companies") with patients, clinicians, hospital leaders, partners, investors, mentors, and other stakeholders ("Community Members") who can validate, support, and engage with their innovations.

MedStartr.ai focuses on crowd validation — enabling community members to express interest in healthcare innovations through engagement actions (such as likes, follows, pilot interest, partnership expressions, and mentorship). This validation data helps companies demonstrate market interest and accelerate adoption.

To access certain features, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your password and for all activity under your account.

MedStartr reserves the right to refuse service, suspend accounts, or modify eligibility criteria at our discretion.

You agree not to use the Service to:

• Submit false, misleading, or fraudulent information
• Infringe on the intellectual property rights of others
• Harass, threaten, or abuse other users
• Send spam or unauthorized commercial communications
• Attempt to gain unauthorized access to the Service or other user accounts
• Scrape, crawl, or use automated tools to extract data without permission
• Reverse engineer or attempt to extract the source code of the Service
• Violate any applicable laws or regulations

Companies listed on MedStartr.ai are responsible for the accuracy of their profile information. MedStartr does not independently verify all claims made by listed companies and does not endorse, guarantee, or recommend any company or innovation listed on the platform.

Verified company representatives may edit their company profiles. By submitting profile information, you represent that you have the authority to do so and that the information is accurate to the best of your knowledge.

Community members may express interest in companies through various engagement actions including likes, follows, try requests, pilot interest, partnership expressions, mentorship offers, and other forms of validation. These expressions of interest are publicly visible and contribute to a company's MedStartr Index Score.

Engagement actions represent expressions of interest and intent — they are not legally binding commitments to purchase, invest, partner, or provide services unless a separate agreement is executed between the parties.

MedStartr.ai may facilitate introductions and connections between companies and potential customers, partners, pilots, and other business relationships. When a sale, partnership, licensing agreement, pilot program, or other commercial transaction is generated through or attributable to the MedStartr.ai platform, MedStartr is entitled to a commission of ten percent (10%) of the gross transaction value.

This commission applies to:

• Direct sales of products or services facilitated through MedStartr.ai
• Pilot program agreements initiated through platform engagement
• Partnership or licensing deals where MedStartr.ai provided the initial connection
• Any commercial transaction where the parties were introduced or connected through the platform

The commission obligation applies for a period of twelve (12) months following the initial introduction or connection made through MedStartr.ai, regardless of whether the transaction closes during active platform use. Companies and transacting parties agree to report qualifying transactions to MedStartr in good faith.

MedStartr reserves the right to modify commission rates with 30 days' advance notice to affected parties.

The MedStartr Mentor Network connects healthcare innovators with experienced advisors and industry leaders. Mentors participate voluntarily. MedStartr does not guarantee the quality, availability, or outcomes of mentorship relationships.

Mentors and companies are encouraged to establish their own terms for any ongoing advisory or consulting arrangements formed through the platform.

The Service, including its design, features, content, and technology, is owned by MedStartr, Inc. and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

By submitting content to MedStartr.ai (including profile information, company descriptions, and engagement data), you grant MedStartr a worldwide, non-exclusive, royalty-free license to use, display, and distribute that content in connection with operating and promoting the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

MedStartr does not warrant that the Service will be uninterrupted, secure, or error-free. We do not guarantee any specific outcomes from using the platform, including but not limited to business relationships, sales, partnerships, or investment.

IN NO EVENT SHALL MEDSTARTR, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. MEDSTARTR'S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

You agree to defend, indemnify, and hold harmless MedStartr, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

MedStartr may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately.

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of New York County, New York. You waive any right to a jury trial.

MedStartr reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
